Public Disclosure

When a company goes public, it assumes certain obligations to disclose material information about its operations and financial performance, both in documents filed with the appropriate CSA members and through timely public disclosures via news release. These obligations are not fulfilled until the information is generally disseminated to the public. Announcements of material events or information are not deemed to have been properly disseminated or made public until they have first been released to the exchanges and distributed electronically through a newswire service that provides national and simultaneous coverage. Generally, disclosure policies mandate the best-practice approach that insiders should wait at least 24 hours after the release of such information before trading, to assure proper dissemination of the news.
